The Offering was completed pursuant to an underwriting agreement dated January 23, 2018, as amended, among Clarus Securities Inc. as underwriter (the “Underwriter”) and the Company. The Company paid a 7.0% commission and also issued 460,618 share purchase warrants. The Underwriter’s warrants are exercisable into Common Shares at a price of $0.91 per Common Share, for a period of two years from the closing date.
